PART A:   5 marks

In this part, based upon general research (do not refer to your article at this stage), in the context of Corporate law, explain what a fiduciary duty is and clearly show why it is important that Directors, Executives and Senior Managers comply with their fiduciary duty. You may refer to general examples of corporate misconduct to illustrate your points but do not refer to your chosen article at this stage.

PART B:  5 marks

In this part, you are required, in your own words, to clearly and briefly present the facts of your article. You must present the facts in such a way that the relevant persons and their acts of misconduct are clearly identifiable.  At the end of this part, you must post the link to the article that you used.

PART C:   5 marks

In this part, you are required to present an analysis of the acts of misconduct that you identified in Part B. You must clearly illustrate why you believe that these acts of misconduct constitute a breach of fiduciary duty on the part of the persons concerned. A deep level of analysis is required here.

PART D:  5 marks

In this part, I need you to imagine that you are a Corporate Risk Management Strategist who has been hired to address the problems which have occurred, as discussed in Part B.  From a retrospective point of view (looking back at what occurred, corporate weaknesses etc.) you are required to develop a legal risk management strategy for the business that you have researched. Your legal risk management strategy must be convincing in that you must clearly demonstrate to me that the implementation of your strategy would help to prevent a repeat of misconduct.  You must demonstrate originality of thought here and must clearly explain all of your recommendations.
